Terms of Service

These Terms of Service ("Terms") govern your use of the Upfayre platform ("the Service"), operated by One Tandem Limited, a company registered in England and Wales (company number 17229064), trading as Upfayre ("we", "us", "our"). By creating an account, you agree to these Terms. Please read them carefully.

If you are accepting these Terms on behalf of an organisation (such as a PTA, sports club or community group), you confirm you have authority to bind that organisation.

1. The Service

Upfayre is a platform that helps school PTAs, sports clubs, community groups and similar fundraising organisations plan events, coordinate volunteers, manage tasks, and track fundraising impact. The Service is provided over the internet and requires an account to use.

Upfayre has a free tier and a paid Full plan — see section 2. Features may change over time, and we may apply reasonable limits on storage or usage to keep the Service working well for everyone. We will give reasonable notice before we start charging for anything that is currently free.

2. Payments and subscriptions

This section covers two separate payment arrangements: your Organisation's subscription to Upfayre, and sales your Organisation makes to buyers through the storefront.

Your Upfayre subscription

Upfayre is free to start. Organisations that joined during our beta keep Full access free until 31 August 2027, after which the free tier or the Full plan applies. Organisations that need unlimited events can subscribe to the Full plan at £75 per year (no VAT — One Tandem is not currently VAT-registered). The subscription:

  • is billed annually and renews automatically on each anniversary until cancelled;
  • belongs to the Organisation, not an individual — any of its committee members / organisers can manage or cancel it, and it survives committee handovers;
  • can be cancelled at any time from your billing settings. Cancellation takes effect at the end of the current annual period: you keep Full access until then and are not charged again;
  • comes with a 30-day money-back guarantee — if you cancel within 30 days of a payment and contact us, we will refund that payment in full and end the subscription.

When a payment fails we retry it and email you; if it can't be collected the Organisation moves to the free plan. Payments are processed by Stripe — we don't store your card details.

Storefront and ticket sales

Upfayre provides a marketplace facility that allows the organisations who use it — school PTAs, sports clubs, community groups and similar fundraising bodies ("the Organisation") — to sell event tickets and merchandise directly to buyers through a public storefront. Upfayre is not a party to transactions between an Organisation and its buyers. The Organisation is the merchant of record for every sale made through their storefront: they set the prices, are responsible for collection and fulfilment of items, and are responsible for handling refund requests.

For organisations using the storefront

By activating the storefront and connecting a Stripe account, the Organisation agrees to:

  • Comply with all applicable UK consumer law, including the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
  • Honour buyers' statutory cancellation rights for merchandise (see below).
  • Make a contact method available to buyers so they can raise refund or cancellation requests.
  • Ensure products are accurately described and that any stated capacity limits are correct.
  • Comply with Stripe's Services Agreement and Connected Account Agreement.

Upfayre takes no commission on sales. Stripe's standard UK processing fee (~1.5% + 20p) applies to each transaction and is deducted by Stripe before funds are paid out to the Organisation.

For buyers

When you purchase through a storefront, your contract is with the Organisation, not with Upfayre. Upfayre acts as a technology intermediary and processes payments on behalf of the Organisation. For refund or product queries, contact the Organisation directly.

Event tickets. Event tickets are sold for a leisure activity on a specific date. Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, Schedule 3(l), the 14-day statutory cancellation right does not apply. You will be informed of this before completing your purchase. The Organisation's own refund policy (if any) applies instead.

Merchandise. For merchandise purchased online, you have the right to cancel within 14 days of receiving the item, and to return it for a full refund within a further 14 days. Items must be returned unused and in their original condition. To exercise this right, contact the Organisation directly.

Faulty or misdescribed items. Nothing in these Terms limits your statutory rights under the Consumer Rights Act 2015. If an item is faulty or not as described, you may be entitled to a repair, replacement, or refund from the Organisation.

Collection. All purchases through the storefront are collection-only — either at the event or from the Organisation. There is no delivery service. This is stated at the point of purchase.

VAT. Most of these organisations are not VAT-registered. Prices shown are the full amount charged; no VAT is added by Upfayre. Where an Organisation is VAT-registered, it is their responsibility to display VAT-inclusive prices and account for VAT accordingly.

3. Your account

You must:

  • Be at least 18 years old to register.
  • Provide accurate information when registering and keep it up to date.
  • Keep your password confidential and not share access to your account.
  • Notify us promptly at [email protected] if you believe your account has been compromised.

You are responsible for all activity that takes place under your account.

4. Acceptable use

You must not use the Service to:

  • Upload, share, or transmit content that is unlawful, defamatory, threatening, obscene, or infringes a third party's rights.
  • Impersonate any person or organisation.
  • Attempt to gain unauthorised access to other accounts or to our systems.
  • Transmit malware, viruses, or other harmful code.
  • Use the Service for any commercial purpose not expressly permitted by us — for example, running a business unrelated to your organisation's fundraising activities.
  • Scrape, crawl, or otherwise systematically extract data from the Service.
  • Take any action that places unreasonable load on our infrastructure.

We reserve the right to suspend or terminate accounts that breach these rules.

5. Your content

You retain ownership of content you create or upload through the Service (messages, files, event details, and so on). By uploading content, you grant us a limited, non-exclusive licence to store, display, and process that content solely to provide the Service to you and your fellow organisation members.

You are responsible for ensuring that any content you upload does not infringe third-party rights and complies with applicable law.

We may remove content that breaches these Terms or that we are legally required to remove, and we will notify you where practicable.

Rewards programme submissions. If you submit a testimonial, video or social post through our rewards programme, you grant us a separate non-exclusive, royalty-free licence to use it — in whole or in part, credited by your first name and organisation — on our website, in our app store listings and on our social channels, until you withdraw it. You can withdraw this licence at any time by emailing [email protected]; we will stop using the submission within 30 days, and any reward already granted stays yours. This licence survives the end of the service licence above.

6. Availability and changes

We aim to keep Upfayre available, but we do not guarantee uninterrupted access. We may carry out maintenance, make changes to features, or temporarily suspend the Service. We will provide reasonable notice of planned downtime where possible.

We may modify, discontinue, or replace features at any time. If we plan to discontinue the Service entirely, we will give at least 90 days' notice and provide a mechanism for you to export your data.

7. Data and backups

We take reasonable steps to protect your data, including encrypted connections (HTTPS), hashed passwords, and regular backups managed by our hosting provider.

However, we strongly recommend that you keep copies of any critical documents you upload to Upfayre, such as risk assessments or financial records. Upfayre is a coordination tool, not a document archive, and should not be relied upon as the sole copy of important files.

Our hosting provider performs automated backups. Details of the backup schedule are available on request.

8. Limitation of liability

To the fullest extent permitted by law:

  • The Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted availability.
  • We will not be liable for indirect, consequential, or special losses — including loss of data, loss of profits, or loss of fundraising income — even if we were advised of the possibility of such loss.
  • Our total liability to you for any claim arising out of or related to these Terms or the Service will not exceed the total fees paid by you for the Service in the 12 months preceding the claim, or £100, whichever is greater.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

9. Indemnity

You agree to indemnify us against any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Service.

10. Termination

By you: You may delete your account at any time from your account settings. Upon deletion, your personal data will be removed within 30 days in line with our Privacy Policy. Content associated with organisation or event records (such as tasks and messages) may be retained in anonymised or de-identified form.

By us: We may suspend or terminate your account if you breach these Terms, or where required by law. We will give reasonable notice where possible, except where immediate action is required (for example, due to a security risk).

11. Intellectual property

All intellectual property in the Upfayre platform — including the software, design, branding, and documentation — belongs to us or our licensors. Nothing in these Terms grants you a right to use our trademarks or branding.

The school data used to populate the school directory is sourced from publicly available Department for Education data and remains subject to Crown copyright.

12. Changes to these Terms

We may update these Terms. If we make a material change, we will notify you by email at least 14 days before the change takes effect. Continued use of the Service after that date constitutes acceptance of the revised Terms. If you do not agree, you may delete your account before the change takes effect.

13. Governing law

These Terms are governed by the law of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
